“MATHERS FOUNDRY LIMITED” (“the Company”) was incorporated as a Private Limited Company in England in September 2008 for acquiring assets and certain liabilities of Weir Foundry in UK. The entire Shareholding of
the Company is owned and controlled by Westley Group Limited which is its Parent Company.

The principal activity of the Company is the production and machining of Castings in high grade stainless steels including Super Duplex, Duplex and other grades including ZERON.

The Company has ZERON IP License, Foundry prescribed Process License and the various manufacturing approvals like NNSA and NORSOK.

It has heat treatment facilities that are designed specifically for duplex and super duplex steel castings such as the ZERON 100 range of super duplex stainless steels. The ZERON range has become the preferred material selection for many critical and severe service applications.

The Facility i ncludes a fully resourced laboratory of UKAS standard and two Magma modelling suites.

It has a fully integrated and resourced pattern shop, an underutilized pattern storage facility and a proof machine shop which is capable of further expansion.

The Foundry also has a dedicated nuclear production cell along with outline NNSA approval (CNPE).

The Business is accredited to ISO 9002 and ISO 14001:2004 by LRQA and it is also qualified to NORSOK M-650
for Cast Products.

Its ZERON IP licence is an exclusive, worldwide, perpetual licence for all cast products produced in all variants
of ZERON (whether existing or yet to be developed).

The Company is mainly catering to the requirements of the Pumps and Valves Industry in the European Markets. Clyde Union is one of the Major Customers of the Company.
